Terms and Conditions – Real Estate Wholesaling
Achievers Land USA, a division of Achievers Human Capital USA LLC
1. Introduction
These Terms and Conditions apply to all real estate wholesaling services provided by Achievers Land USA ("Achievers"), a company that facilitates land acquisition opportunities through assignment contracts between property sellers and end buyers.
1.1 Definitions
Seller: The legal owner of a land parcel.
Buyer: The investor, builder, or entity purchasing land via assignment.
Assignment Contract: An agreement transferring the purchase rights of a land parcel from Achievers to the Buyer.
Parties: Refers to Achievers, the Buyer, and/or the Seller as applicable.
2. Scope & Applicability
2.1. These terms apply to all deals and services offered by Achievers from September 1, 2024, unless superseded by a written agreement.
2.2. Any deviation from these terms must be agreed to in writing by Achievers to be valid.
3. Assignment Agreements
3.1. Achievers contracts directly with the Seller to secure equitable interest in land parcels via purchase agreements.
3.2. Achievers may assign its contractual rights to a Buyer for an agreed-upon assignment fee.
3.3. Once the Buyer signs the assignment agreement and earnest money is received, the Buyer assumes all rights and responsibilities under the original purchase agreement.
4. Fees & Payments
4.1. The Buyer agrees to pay Achievers an assignment fee as outlined in the assignment agreement.
4.2. The assignment fee is non-refundable unless otherwise stated in writing.
4.3. Payment is due at closing and shall be disbursed via the title company or attorney handling the transaction.
5. Non-Circumvention Clause
5.1. Buyers and Sellers introduced by Achievers agree not to bypass, circumvent, or attempt to negotiate directly with each other on the same property outside of Achievers’ involvement.
5.2. If circumvention occurs within 24 months of introduction, the defaulting party shall owe Achievers the full agreed assignment fee plus a penalty of $5,000.
5.3. Sharing property details, seller contacts, or assignment agreements with third parties without written consent from Achievers is strictly prohibited.
6. Property Information & Liability
6.1. Achievers provides property details based on available public records, seller disclosures, and visual inspections.
6.2. Achievers makes no guarantees or warranties about zoning, buildability, or future land use. It is the Buyer's responsibility to perform all due diligence before closing.
6.3. Achievers is not liable for post-sale disputes, land use restrictions, or title issues beyond its control.
7. Governing Law
This agreement is governed by the laws of the United States and the state of Delaware, without regard to conflict of law principles.
8. Acceptance
By engaging in any land assignment transaction with Achievers Land USA, all parties acknowledge and accept these Terms and Conditions.
